Terms and Conditions for Mini ERP by BJIT Group

1. Agreement to Terms

1.1 By accessing and using our website, https://minierp.bjitgroup.com ("Site"), and the services provided through the Site ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use our Services.


2. Service Provision

2.1 Services Description: Mini ERP provides cloud-based enterprise resource planning solutions tailored for small to medium-sized businesses across various industries.


2.2 User Accounts: You must register for an account to access most features of the Services. You agree to provide accurate and complete account information and keep this information up-to-date. You are responsible for maintaining the confidentiality of your account password.


2.3 Modifications and Interruptions: We reserve the right to modify or discontinue all or part of the Services, temporarily or permanently, with or without notice to you. We will not be liable to you or any third party should we exercise such rights.


3. Use of the Services

3.1 You may use our Services only as permitted by law, including applicable export and re-export control laws and regulations.


3.2 Prohibited Activities: You agree not to engage in any of the following activities in connection with the Services:


  1. Any form of hacking, cracking, or distribution of counterfeit software.
  2. Transmission of malicious code or viruses.
  3. Engaging in automated uses of the site that are abusive or disruptive of the Services and have not been approved by us.


4. Intellectual Property

4.1 The Services and all materials therein or transferred thereby, including software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, and other intellectual property, are the exclusive property of Mini ERP by BJIT Group unless otherwise clearly stated.


5. Payment Terms

5.1 Fees: You agree to pay the applicable fees for the Services you purchase. We will bill you through an invoice for purchases made through the Services.


5.2 Late Payments: User fails to pay any amounts owed to us under the Services, or in connection with the use of the Services or these Terms, the User shall pay us a late payment charge at an annual rate of 14.6%, calculated on the amount due, for the period from the day following the due date until the actual payment is made.


5.3 Returns & Refunds: Depending on the payment method system the refund requests must be made within 7-10 business days from the date of purchase.


6. Cancellation and Termination

6.1 You may cancel your account at any time. Upon termination, your account will be deactivated, and you may no longer access the Services.


6.2 We reserve the right to suspend or terminate your account and refuse any and all current or future use of our Services if you violate these Terms.


7. Disclaimer of Warranties

7.1 Our Services are provided on an "as is" and "as available" basis. Mini ERP by BJIT Group does not warrant that the Service will be uninterrupted, timely, secure, or error-free.


8. Limitation of Liability

8.1 To the maximum extent permitted by law, Mini ERP by BJIT Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages or any loss of profits or revenues, whether incurred directly or indirectly.


9. Dispute Resolution

9.1 These Terms shall be governed by and construed in accordance with the laws of the European Union. You agree that any judicial proceedings will be brought in the relevant courts located in the European Union and consent to venue and personal jurisdiction there. This provision does not prevent us from bringing any action in the court of any other jurisdiction for injunctive or similar relief.


9.2 The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.


9.3 The laws of Bangladesh that are currently in effect shall govern in all respects the construction, validity, and performance of these terms and conditions. The laws of Bangladesh that are currently in effect will also apply to your use and access of this site, as well as to any disputes resulting from such use and access. If a court or other competent authority rules that any provision of these terms and conditions is invalid, voidable, illegal, or otherwise unenforceable, then Mini ERP may amend the term or, at its option, remove it from the terms and conditions; the remaining portion of the affected provision and the other provisions of these terms and conditions will still be in full force and effect.


10. General Terms


10.1 Modification: 


We may update these Terms from time to time to reflect changes to our practices or for other operational, legal, or regulatory reasons.


10.2 Prohibition of Association with Anti-Social Forces


10.2.1 Representation and Warranty: Both the User and the Company hereby represent and warrant that they, along with their officers, directors, employees, and agents (collectively, "Affiliates"), are not involved, nor shall they become involved, in any capacity with anti-social forces. For the purposes of these Terms, "anti-social forces" refers to any organized crime group, terrorist organization, or other group or individual that engages in or advocates for activities that disrupt public order or safety, or that engage in coercive, fraudulent, or other criminal activities.


10.2.2 Prohibited Activities: The User and the Company, along with their Affiliates, shall refrain from any and all forms of cooperation, involvement, or engagement, whether directly or indirectly, with anti-social forces. This includes, but is not limited to, any financial transactions, support, or facilitation of operations that may benefit such entities.


10.2.3 Due Diligence and Compliance: The User and the Company are required to exercise due diligence to ensure that none of their Affiliates engage in any activities or associations prohibited by this clause. This includes implementing and maintaining effective controls and procedures to prevent such involvement.


10.2.4 Breach and Consequences: Any breach of this clause by either party, or any evidence suggesting potential breach, shall be considered a material violation of these Terms and may result in immediate unilateral termination of the agreement by the non-breaching party. Additionally, the breaching party may be subject to legal action, and the Company reserves the right to take any necessary legal steps to address such breaches, which may include reporting to relevant authorities and seeking injunctive relief and damages.


10.2.5 Notification: In the event that the User or the Company becomes aware of any potential or actual breach of this clause, such party is obligated to promptly notify the other party and to cooperate fully in any investigation or remediation measures.
